Terms of Service
Perseids is business software for private-company ownership. These terms describe what the platform does, what it deliberately does not do, and what we each remain responsible for.

The platform
Perseids provides software for:
- Private-company ownership administration and cap tables.
- Portfolio analytics for investors.
- Connections between companies and investors.
- Private transaction workflows.
- Strategic Deals modelling and negotiation.
- Secondary coordination under company control.
- Execution-partner workflows.
No professional advice
Perseids provides equity administration, workflow and analytical assistance. It does not provide legal, tax or investment advice.
Engage qualified advisers for any decision that requires them.
The ownership ledger
- Authoritative transactions are recorded only through an authorised workflow by a user with the required permission.
- AI cannot mutate ownership. It can only propose, and proposals are inert until approved by a person.
- You remain responsible for the accuracy of the information you submit and the approvals you give.
AI features
- AI output may contain errors.
- AI is analytical assistance, not a source of authority.
- AI output requires human review before it is relied on or approved.
- AI output is not legal, tax or investment advice.
Secondary
- There is no public order book.
- There is no Buy Now execution on Perseids.
- Perseids provides no custody of securities or funds.
- Perseids does not hold or move funds.
- Expressions of interest are non-binding unless the parties expressly agree otherwise.
- Where a transaction requires regulated execution, it proceeds through external, appropriately qualified partners.
- The company retains control over transfer approvals, rights of first refusal and transfer restrictions.
Strategic Deals
- Strategic Deals are modelling and negotiation tools.
- Valuation and milestone assumptions may be provided by users; Perseids does not verify them.
- Term sheets generated in Perseids are non-binding discussion documents unless expressly stated otherwise by the parties.
- Nothing in a deal room issues securities automatically.
- Actual transactions proceed through separate authorised workflows.
Execution partners
Perseids may coordinate with third-party execution partners. Partner verification reflects information that has been reviewed and stored in Perseids. It is not a guarantee of a partner’s suitability, regulatory standing, legality or availability for any particular transaction. Your engagement with a partner is a matter between you and that partner.
Your responsibilities
- Have the authority to act for the organisation you represent.
- Provide accurate and complete information.
- Keep account credentials and workspace access secure.
- Comply with applicable law, including securities and transfer restrictions.
- Do not use Perseids to facilitate unlawful transactions.
Subscriptions and billing
Paid plans are billed in advance on a recurring basis at the price and interval shown at purchase, plus any applicable taxes. Upgrades take effect when confirmed; downgrades and cancellations take effect according to the schedule shown in your billing settings, and access continues until the end of the paid period. Subscription payments are handled by Paddle. Commercial terms are those presented in the product at the time of purchase.
Intellectual property
Perseids retains all rights in the platform, software, design and documentation. You retain ownership of the data you submit, and grant us only the rights needed to host, process, secure and deliver the service to you.
Confidentiality
Company, transaction and deal information is confidential and access-controlled. We disclose it only to the workspace that owns it, to counterparties you explicitly grant access to, to providers acting on our instructions, and where required by law.
Availability
We work to keep Perseids available and correct, but we do not promise uninterrupted or error-free operation. Maintenance, provider incidents and factors outside our control can affect availability.
Limitation of liability
To the maximum extent permitted by law, Perseids is not liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, goodwill or data. Our aggregate liability arising out of the service is limited to the fees you paid for it in the twelve months before the event giving rise to the claim. Nothing here excludes liability that cannot lawfully be excluded.
Governing law and contracting entity
The Perseids service is provided by Perseids Ltd, a company incorporated in England and Wales. These terms are governed by the laws of England and Wales, with the courts of England and Wales having exclusive jurisdiction.
